What is the PA Annual Report?
On November 3, 2022, Governor Wolf signed Act 122 of 2022 into law, introducing an annual reporting requirement for most domestic and foreign filing associations in Pennsylvania, effective in 2025. This replaces the decennial report and brings Pennsylvania in line with other states. Failure to file will result in administrative dissolution, termination, or cancellation, along with the loss of name protection. While the Department of State will send advance notices, non-receipt does not exempt associations from compliance. Be on the lookout for an email from no_reply@pa.gov describing the obligations for your business.

We’re recent college graduates, each beginning our own careers—one in accounting and the other as a paralegal. Like many of you, we received the email from no_reply@pa.gov regarding the new annual report requirement. When family members started asking us about what the new report was, we took it as an opportunity to learn the system inside and out. After successfully filing reports for multiple different family and friend-owned businesses, we realized just how confusing and time consuming this process could be. That’s when we decided to start Keystone Filing Company, operating right out of our parents’ basement, dedicated to making annual report filings simple, affordable, and stress-free for Pennsylvania businesses.
What started as a favor for family has grown into a mission to help business owners stay compliant without taking time away from what matters most.
